Given that one player replaces the other, the squad remains at 32.

To make this possible you sell your player for €100k and once you're down to 31 players you buy the other player for €100k.
That way there's no tax as there is for exchanges and I don't think it would be considered as a gift of players because there's reciprocity.
Of course, if the other club also has 32 players, that's going to be a problem.
